These Terms of Service ("Terms") constitute a legally binding agreement between you and Ghost Hosts ("Company", "we", "us", or "our") concerning your access to and use of our website (https://getghosthosts.com) and related services (collectively, the "Services").

Description of Services

Ghost Hosts provides consulting, advisory, and operational support services for short-term rental (STR) and mid-term rental (MTR) operators. Our services include but are not limited to:

• STR Rescue Audit: Diagnostic assessment of operations and revenue
• Ops + Revenue System Build: Implementation of operational systems and processes
• Fractional COO Partnership: Ongoing operational leadership and support
• Fractional CRO Partnership: Revenue strategy and optimization
• Educational resources, templates, and industry insights

The specific scope, deliverables, and terms of each engagement will be defined in a separate service agreement or statement of work.

User Responsibilities

When using our Services, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of any account credentials
• Use the Services only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt the Services or servers
• Not attempt to gain unauthorized access to any portion of the Services

Intellectual Property Rights

All content, materials, and intellectual property on our website and within our Services, including but not limited to text, graphics, logos, images, videos, software, frameworks, methodologies, and documentation (collectively, "Content"), are the property of Ghost Hosts or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Client Engagements

Service Agreements

Consulting services are provided under separate written agreements that specify the scope, deliverables, timeline, fees, and payment terms. These Terms supplement but do not replace the specific terms of such agreements.

Client Responsibilities

Clients agree to:

• Provide timely access to necessary information, systems, and personnel
• Respond to requests for information or decisions in a timely manner
• Implement recommendations at their own discretion and risk
• Maintain confidentiality of proprietary methodologies and frameworks

Payment Terms

Fees are specified in the service agreement. Payment is typically due upon invoicing or according to the agreed payment schedule. Late payments may be subject to interest charges and suspension of services.

Disclaimers and Limitations of Liability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• Our Services will meet your specific requirements or expectations
• Our Services will be uninterrupted, timely, secure, or error-free
• Results obtained from our Services will be accurate, reliable, or guaranteed
• Any recommendations or strategies will achieve specific financial outcomes

Professional Advice

Our consulting services are based on our experience and expertise in the STR/MTR industry. However, we are not providing legal, accounting, tax, or financial advisory services. Clients should consult with appropriate licensed professionals for such advice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GHOST HOSTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

Our total liability for any claim arising out of or related to these Terms or our Services shall not exceed the amount paid by you to Ghost Hosts in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Ghost Hosts and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) your implementation of our recommendations or strategies.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement. This includes but is not limited to:

• Business strategies, financial information, and operational data
• Proprietary methodologies, frameworks, and systems
• Client lists, vendor relationships, and partnership information

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or as necessary to perform the services.

Testimonials and Case Studies

We may request permission to use your company name, logo, and results as a testimonial or case study for marketing purposes. Any such use will require your prior written consent, and you may request anonymization of identifying information.

Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, with or without notice, including for violation of these Terms.

For ongoing consulting engagements, termination provisions will be specified in the service agreement. Upon termination, you must cease all use of our Services and destroy any confidential materials in your possession.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ghost Hosts operates, without regard to its conflict of law provisions.

Dispute Resolution Process

In the event of any dispute arising out of or related to these Terms or our Services, the parties agree to first attempt to resolve the dispute through good faith negotiation. If negotiation is unsuccessful, the parties agree to mediation before pursuing arbitration or litigation.

Miscellaneous

Entire Agreement

These Terms, together with any service agreements, constitute the entire agreement between you and Ghost Hosts regarding the use of our Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term or condition.

Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction.
